By accessing, browsing, or using BacWaterMax.com (the “Site”), creating an account, or placing an order for any products sold on the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions (the “Terms”). If you do not agree to these Terms, do not use the Site or purchase any products.

These Terms constitute a legally binding agreement between you and BacWaterMax LLC (collectively, “we,” “us,” “our,” or “BacWaterMax”).

REQUIRED CERTIFICATIONS AT CHECKOUT
By completing a purchase, checking any age or intended-use box, and clicking to place an order, you electronically certify that:

  1. You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
  2. You are purchasing solely for laboratory research, testing, analytical, or educational use.
  3. You will not use, sell, or transfer any product for human or animal consumption, injection, compounding for human use, therapeutic use, diagnostic use, cosmetic use, or any other non-research purpose.
  4. You understand that our products are not FDA-approved for human or veterinary use and are not medicines, drugs, or dietary supplements.

We may refuse, cancel, or reverse any order, and may request proof of age or professional/research status, if we reasonably believe these certifications are false.

1. Eligibility and User Representations

You represent, warrant, and covenant that:

  • You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater. Persons under that age may not use the Site or purchase products.
  • You are a qualified professional, researcher, scientist, laboratory technician, educational institution, or other authorized person or entity engaged in legitimate scientific or laboratory research.
  • All products purchased from BacWaterMax are intended exclusively for laboratory research, testing, or analytical purposes only.
  • You are not purchasing any product for human or animal consumption, injection, implantation, inhalation, topical application as a drug or cosmetic, therapeutic use, diagnostic use, recreational use, or any purpose prohibited by law or these Terms.
  • You will comply with all applicable federal, state, local, and international laws, regulations, and safety guidelines when ordering, importing, handling, storing, or using the products.
  • You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
  • All information you provide (name, address, payment, intended use, professional status) is true and complete.

By placing an order, you expressly certify and accept the above. BacWaterMax reserves the right, in its sole discretion, to refuse, cancel, delay, or limit any order, and to close accounts, if we suspect a violation of these eligibility requirements, including underage purchase or intended human use.

2. Products and Intended Use — Laboratory Research Only

All products sold on BacWaterMax (including but not limited to bacteriostatic water, sterile water, laboratory reagents, solvents, and related supplies) are sold strictly for laboratory and research use only.

  • They are not approved by the U.S. Food and Drug Administration (FDA) or any other regulatory agency for human or veterinary use.
  • They are not intended to diagnose, treat, cure, or prevent any disease.
  • We make no claims regarding safety, efficacy, or suitability for any purpose other than controlled laboratory research.
  • Any information on the Site is for educational and research purposes only and is not medical, legal, compounding, or professional advice.
  • You are solely responsible for determining that your use is lawful in your jurisdiction and that you have the training, facilities, and permits required for laboratory handling.

Misuse of research products may violate federal or state law. BacWaterMax does not condone or support such use.

3. Age Verification and Order Screening

We may, but are not obligated to:

  • Require you to confirm age and research-only use at checkout;
  • Request government-issued identification or institutional affiliation;
  • Cancel orders that appear to be for personal/human use, drop-shipping to third parties, or underage buyers;
  • Limit quantities.

Failure to provide requested verification may result in cancellation without liability to us, other than a refund of amounts actually paid if the order is not shipped (subject to Section 5).

4. Orders, Payments, and Acceptance

  • All orders are offers only and are subject to acceptance by BacWaterMax in our sole discretion.
  • Prices are in U.S. dollars and may change without notice.
  • Payment must be made in full at the time of order through the methods displayed on the Site.
  • We may refuse, cancel, or limit any order for any reason, including suspected fraud, chargeback risk, resale, underage purchase, or violation of these Terms.
  • An order confirmation email does not, by itself, guarantee acceptance or shipment.

5. Shipping and Delivery

  • Shipping times are estimates only and are not guaranteed.
  • Risk of loss or damage passes to you upon delivery of the goods to the carrier.
  • You are responsible for customs, duties, taxes, and import rules in your jurisdiction.
  • International orders may be delayed, inspected, or refused by customs. We are not responsible for seizure or destruction by authorities if the shipment does not comply with destination law.
  • Provide a complete, accurate shipping address. We are not responsible for loss due to incorrect addresses you supply.

6. Returns, Refunds, and Cancellations

Due to the nature of laboratory products and regulatory requirements, all sales are final.

No returns, refunds, or exchanges will be accepted unless a product is proven defective upon receipt, subject to our inspection. Defective-product claims must be submitted in writing to admin@bacwatermax.com within 7 days of delivery, with photos and order number. Approved defective claims may be replaced or refunded at our option.

We may cancel an order before shipment (including for eligibility or compliance reasons) and, in that case, refund amounts paid for the cancelled items.

7. Prohibited Conduct

You agree not to:

  • Use any product inconsistently with the laboratory-research-only restriction;
  • Purchase if you are under 18 or under the age of majority in your jurisdiction;
  • Resell, redistribute, or transfer products to any third party without our prior written consent;
  • Misrepresent your age, identity, professional status, or intended use;
  • Use the Site to facilitate human or animal administration of research products;
  • Engage in fraud, chargeback abuse, or any activity that violates applicable law or these Terms.

8. Intellectual Property

All content on the Site, including logos, text, images, and product information, is the property of BacWaterMax or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Disclaimers and Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACWATERMAX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be error-free or uninterrupted, or that products will meet your specific research requirements. You assume all risk arising from handling and use of the products.

10. Limitation of Liability

IN NO EVENT SHALL BACWATERMAX, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless BacWaterMax and its affiliates, officers, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

  • Your misuse of any product, including any human or animal use;
  • Any claim that you were underage or unauthorized to purchase;

12. Governing Law and Dispute Resolution

You consent to the personal jurisdiction of such courts.
